Welcome to Sidekick. These Terms and Conditions govern your use of the Sidekick AI-powered assistant service operated by Sidekick AI Inc. ("Sidekick," "we," "us," or "our").
1. Acceptance of Terms
By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
Sidekick provides an AI-powered SMS assistant that helps frontline workers get instant answers to workplace questions. Our service includes:
SMS and voice memo Q&A functionality
Multi-language support
Manager analytics dashboard
Document processing and knowledge base management
Service features and functionality are subject to change without notice.
3. User Accounts
You must provide accurate, complete, and current information when creating an account.
You are responsible for safeguarding your account credentials and for all activities under your account.
You must notify us immediately of any unauthorized use of your account.
We reserve the right to terminate or suspend accounts for breach of these Terms.
4. Acceptable Use
You agree not to:
Use the service for any unlawful purpose
Upload malicious content or attempt to compromise our systems
Impersonate others or provide false information
Interfere with or disrupt the service
Attempt to reverse engineer our AI systems
Use the service to send spam or unsolicited messages
Use the service in any way that could harm minors
Resell or redistribute the service without authorization
5. SMS Terms
Message frequency varies based on your usage. You will receive responses to your questions and occasional service updates.
Message and data rates may apply. Contact your wireless carrier for details about your messaging plan.
Our SMS service is supported on all major US carriers including AT&T, Verizon, T-Mobile, and Sprint.
6. SMS Consent & Opt-Out
By providing your phone number, you consent to receive text messages related to workplace questions, service notifications, and account information.
Consent is not a condition of employment or purchase of any goods or services.
You can opt out at any time by texting STOP to our number. You will receive a confirmation and no further messages will be sent.

7. User Content
You retain ownership of content you upload to Sidekick (documents, handbooks, policies, etc.).
By uploading content, you grant us a limited license to use, process, store, and analyze it solely for the purpose of providing our services to you.
You represent that you have the right to upload any content you provide to the service.
Your information is handled according to our Privacy Policy.
8. AI-Generated Responses
Our service uses artificial intelligence to generate responses based on your uploaded content.
While we strive for accuracy, AI-generated responses may contain errors or inaccuracies.
You are responsible for reviewing and verifying any information provided by the service before relying on it.
Sidekick does not guarantee the accuracy, completeness, or reliability of AI-generated content.
9. Intellectual Property
The service and its original content, features, and functionality are owned by Sidekick AI Inc. and are protected by international copyright, trademark, and other intellectual property laws.
Our trademarks may not be used without our prior written consent.
You may not copy, distribute, modify, or reverse engineer our service without written consent.
10. Payment Terms
If you subscribe to a paid plan, you agree to pay all applicable fees.
Fees are non-refundable except as required by law or as explicitly stated in our refund policy.
We may change our pricing with 30 days' notice.
Failure to pay may result in suspension or termination of your account.
11. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms.
You may terminate your account at any time by contacting us.
Upon termination, your right to use the service will cease immediately.
We may retain certain data as required by law or for legitimate business purposes.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. AI-GENERATED CONTENT MAY CONTAIN INACCURACIES.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIDEKICK AI INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE.
14. Indemnification
You agree to indemnify, defend, and hold harmless Sidekick AI Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the service, your violation of these Terms, or your violation of any rights of a third party.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in San Francisco County, California.
16. Dispute Resolution
Any dispute arising from these Terms or your use of the service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may pursue binding arbitration in San Francisco County, California, in accordance with the rules of the American Arbitration Association.
17. Changes to Terms
We reserve the right to update these Terms and Conditions at any time.
We will notify users of changes by updating the "Last updated" date.
Continued use of our service after changes implies acceptance of the revised terms.
